On rendering of tourism services

“Visit Azerbaijan” LLC (State Registration Number 1304553721), further referred to as «Agency», represented by director Leyli Magerram, acting on the basis of Its Chart on One hand and _____________ further referred to as «Customer», represented by director _________________, acting on the basis of Statute on the other hand, hereinafter collectively referred to as the “Parties”, and individually as a “Party” signed the present «Contract» as follows:

1. Subject of the Contract

1.1. The subject of the present Contract is cooperation in the sphere of tourism in Azerbaijan Republic.

2. Obligations of the Parties.

2.1. The agency provides the Customer with a list of tourism services tailor-made/ preorder and/or published on the Agency's internet resource: www.visit-azerbaijan.com or emailed to customer for tourist groups and individual travelers which is an integral part of this Contract.

2.2. "Customer" provides all the necessary information for the execution of tourism services and selected reservation requests. Customer undertakes to carry on payment for Confirmed bookings of ordered services by the invoices issued by the agency during the term specified in this Agreement. Implementation of the "Customer’s" payment for selected services and receipt by the Agency of the financial document confirming the fact of payment.

2.3. The Customer having a right to refuse from the ordered services without payment of penalty clauses to the Agency in case of alteration of essential conditions of the tour. The parties have agreed to consider following alterations as an essential:

  Alteration in duration of providing tour services;
  

• 
  Unforeseen increasing of transport charges necessary for delivery of the tourists to direct place of providing services;
  

• 
  Swing of national currency exchange rates of parties relating one to another and national currency of one of the parties relating to US dollar, EURO.
  

2.4. The Customer undertakes and responsible: to provide the tourists with all necessary information about the date, time and point of departure and arrival, the tour program, the essential conditions of the tour, information about the host country, the rules of behavior in the host country, in strict accordance with the information provided by the Agency; to provide tourists with the necessary documentation for travel services and the program of tourist services in the host country.
2.5. Provide to Customer at no cost such available advertising, promotional and/or marketing materials (e.g. brochures, catalogues, CD, DVD, templates and designs) as Agency deems necessary, at its sole discretion.The Customer shall not use, without the Agency’s prior written approval, any materials in any radio, television or internet marketing or advertising. Any breach of this clause shall entitle the Agency to terminate this Contract immediately without prejudice to any other rights or remedies that it may have against the Customer.
